Strained Samsung C&T Corporation, due to Elliot Management Participation

Samsung is under pressure because of the unexpected management participation of the U.S Elliot Management. According to the enterprise on the 7th, they are gathering all of the information for the merge of Jae-il woolen fabric, Samsung C&T Corporation. If Elliot amity share increases 25% more, then the problem becomes critical. The M&A takeover can only be possible if two thirds of the stock holders are in favor. If more than one third disagrees, then the whole process would be canceled. Currently, Elliot is holding 7.12% and if they get 25% more, then they can determine whether to merge or not.

엘리엇의 삼성물산 경영참여 선언…삼성 '긴장'

예상치 못한 미국계 헤지펀드 엘리엇매니지먼트가 삼성물산 경영참여를 선언해 삼성이 긴장하고 있다.

7일 업계에 따르면 삼성은 현재 제일모직과 삼성물산의 합병성공을 위해 정보력을 총동원하고 있다. 합병 주총일(7월17일)까지 엘리엇이 우호지분을 25% 정도만 더 모을 경우 사태는 심각해진다. 기업 합병은 주총 참석 의결권의 3분의 2이상 찬성을 받아야 합병을 할 수 있다. 3분의 1이상이 반대하면 합병은 무산된다. 엘리엇이 이미 7.12%의 지분을 갖고 있는 만큼 25%정도만 추가로 확보하면 합병 여부를 좌지우지 할 수 있게 된다.
